About the rolei Capital is hiring anAssociate Vice President, EMEA Legal Counselto join its International Legal Team and work with the broader i Capital team in EMEA. The focus will include representing private funds sponsored in EMEA (predominantly Luxembourg- and Cayman-domiciled funds) on a wide spectrum of matters including fund formation, marketing, structuring and distribution matters. The ideal candidate should have experience in drafting and negotiating fund documents, side letters, placement agreements and related fund materials, and have the capability of workshopping and ultimately launching new fund structures and strategic initiatives at i Capital. The candidate will work closely with the broader International Legal team, as well as the Client Solutions, Product Development and Structuring, Regulatory & Compliance and other operational teams at i Capital. This is a unique opportunity to work with a dynamic team and meaningfully contribute to the expansion of a growing business.ResponsibilitiesDraft and negotiate various agreements with counterparties including many of the world's largest and most sophisticated fund managers and leading distribution agentsDraft and review private fund offering materials, partnership agreements and related private fund legal documentationCoordinate with outside legal counsel with respect to a variety of issues including regulatory, corporate and fund investment workEngage in, solution and execute on new initiatives, structures and business lines as the company grows and evolvesDrive legal projects with on-time and on-budget resultsCandidate ProfileDesire to work at a high-growth company in a fast-paced environment, reshaping the alternative investment ecosystem2-3 years of fund formation experience within the Investment Management space (Private Equity and Hedge Fund)Qualified in Luxembourg, U.
