The role will involve providing legal support to group companies operating across the Portuguese and Spanish markets.
The successful job holder will provide comprehensive legal support to the business, with a background in corporate governance, M&A transactions, general corporate advisory, as well as industry-specific regulatory matters.
This role requires a proactive professional with solid experience in multinational environments and the ability to manage and contribute to cross-functional projects
Key Responsibilities:
Support the post- merger integration process across the Iberian Group companies,
Ensuring proper corporate governance practices and compliance with applicable laws and internal policies,preparing documents relating to corporate bodies.
Provide legal advice on corporate matters, including company law, governance frameworks, GDPR, and other regulatory compliance.
Provide Legal support on mergers and acquisitions (M&A) processes, including due diligence, negotiation, and transaction execution.
Deliver day-to-day legal support to various business units on a wide range of commercial and corporate matters.
Draft, review, and negotiate contracts and corporate documentation.
Advise on legal and regulatory matters specific to the chemical manufacturing industry, including compliance with applicable safety, environmental, and product regulations.
Monitor and interpret relevant legislation impacting the chemical sector and ensure company-wide compliance, even conducting internal training when needed.
Coordinate with external counsel when necessary and manage legal risks effectively.
Draft, review and negotiate commercial, service, licensing and other contracts related to day-to-day operations.
Participate in and support cross-border projects within a multinational environment, mainly in Iberia.
Ensure compliance with Portuguese legal and regulatory requirements.
Requirements:
Law degree obtained in Portugal.
Spanish Law degree is a plus
Minimum of 5 years of professional experience, including significant experience as Secretary to the Board of Directors.
Strong expertise in corporate governance, M&A, and general corporate/legal advisory.
Desired experience in the chemical manufacturing sector or in highly regulated industrial environments.
Convenient to have solid knowledge of regulations applicable to the chemical industry (e.G., environmental, health and safety, product compliance).
Proven experience working in multinational companies and in project-based environments.
Solid understanding of Portuguese corporate and commercial law.
Experience or knowledge of Spanish law will be considered a strong asset.
Excellent communication and negotiation skills.
Fluent in English;
Spanish or other additional languages are a plus.
